Sun Pharma to Acquire Organon for $11.75 Billion, Strengthening Global Biosimilar Footprint

Sun Pharmaceutical Industries has announced a landmark $11.75 billion all-cash acquisition of US-based Organon & Co. Representing the largest overseas buyout in Indian pharmaceutical history, the deal involves Sun Pharma purchasing all outstanding Organon shares at $14 each. This strategic move is set to drastically expand Sun Pharma’s global reach and diversify its innovative medicine pipeline.

Organon, a 2021 spin-off from Merck, brings a robust portfolio of over 70 products to the table, with a strong focus on women’s health and general medicines. The company maintains a significant international presence, marketing biosimilars across 140 countries, and operates six manufacturing facilities within the European Union and emerging markets.

Dilip Shanghvi, Executive Chairman of Sun Pharma, noted that the merger creates a more diversified and powerful platform. By integrating Organon’s specialized assets, Sun Pharma aims to accelerate its growth within the competitive global biosimilars market. Financially, Organon reported $6.2 billion in revenue for 2025, providing a solid, albeit leveraged, foundation for the combined entity.

The acquisition serves as a critical hedge for Sun Pharma, particularly as it seeks to fortify its US market position against potential regulatory and tariff shifts. Once the merger concludes in early 2027, the combined entity is expected to generate approximately $12.4 billion in annual revenue, vaulting Sun Pharma into the top 25 pharmaceutical companies worldwide.

The deal, which has received board approval from both companies, will be financed through a combination of Sun Pharma’s cash reserves and committed bank financing. Upon completion, the new organization will rank as the world's seventh-largest player in the biosimilars sector. As integration begins, analysts expect significant synergies, positioning the merged company as a dominant force in global healthcare innovation.
